1. Acceptance of Terms

By accessing or using Proqure's website and marketplace services ("Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Services.

2. About Proqure

Proqure is a B2B marketplace that matches steel pipe buyers with sellers. Buyers publish requirements (RFQs). Matched sellers send quotes. Parties may counter or accept. An accepted quote can become a purchase order between the buyer and the seller.

Proqure is not a manufacturer and is not a party to buyer–seller transactions. Invoices, payment, delivery, and GST documentation are between the buyer and the seller.

3. Services Provided

3.1 Marketplace Services

Proqure provides:

• RFQ publishing and seller matching
• Quote, counter-offer, and acceptance workflows
• Purchase-order generation between matched parties
• In-app communication related to an RFQ
• Reference information on common steel specifications

3.2 Limitations

Proqure does not:

• Manufacture steel materials
• Buy or sell steel as principal
• Guarantee availability of specific brands at all times
• Control manufacturing processes or seller quality
• Provide engineering or consulting services

4. Requirement Submission and Quotations

4.1 Submission

Submitting an RFQ is not a binding order. RFQs are visible to matched sellers and are subject to review, matching, and seller response.

4.2 Quotations

Quotations are issued by sellers, not by Proqure. Validity, pricing, and commercial terms are as stated by the seller and may change with market conditions and availability.

4.3 Brand Availability

Where a buyer requests a specific brand, sellers may offer that brand or a BIS-compliant alternative if the RFQ allows it. Availability depends on the seller's supply.

5. Orders and Purchase Orders

5.1 Order Confirmation

A transaction is confirmed only when a buyer and a seller accept terms and a purchase order is created between those parties. Proqure is not the issuer or the counterparty on that order.

5.2 Modifications

Changes after acceptance must be agreed between the buyer and the seller. Proqure does not approve commercial changes.

5.3 Cancellations

Cancellation after acceptance is a matter between the buyer and the seller and may be subject to charges under their agreement.

6. Pricing and Payment

6.1 Pricing

Prices are quoted by sellers, typically in Indian Rupees (INR) and exclusive of GST unless otherwise stated. Proqure does not set seller prices.

6.2 Payment Terms

Payment terms are those agreed between the buyer and the seller on the purchase order. Payment is made to the seller, not to Proqure, unless a separate written arrangement says otherwise.

6.3 GST and Documentation

Sellers are responsible for GST-compliant invoicing and documentation for their sales. Proqure does not invoice steel supply.

7. Delivery and Title

7.1 Delivery Terms

Delivery terms, timelines, and freight are specified by the seller on the quote or purchase order. Proqure does not guarantee delivery dates.

7.2 Title and Risk

Title and risk of loss pass as agreed between the buyer and the seller (for example Ex-Works or FOR Destination).

7.3 Inspection

Buyers are responsible for inspecting materials on delivery. Claims for damage, shortage, or discrepancy must be raised with the seller within the timeframe on the purchase order.

8. Specifications and Compliance

8.1 BIS Standards

Materials are as specified by the buyer and confirmed by the seller. Proqure provides reference information on BIS standards but is not responsible for interpretation of technical standards.

8.2 Test Certificates

Test certificates, where required, are provided by the seller. Third-party testing, if needed, is arranged and paid for by the requesting party.

8.3 Suitability

Buyers are responsible for ensuring materials are suitable for their intended application. Proqure does not provide engineering advice or fitness-for-purpose warranties.

9. Intellectual Property and Brand Names

9.1 Trademarks

All manufacturer brand names, trademarks, and logos belong to their respective owners. Proqure does not claim ownership or endorsement by these manufacturers.

9.2 Website Content

Content on the Proqure website, including text, graphics, and design, is owned by or licensed to Proqure and is protected by copyright and intellectual property laws.

10. Limitation of Liability

10.1 Service Limitations

Proqure provides marketplace software and matching. It does not manufacture materials or control seller quality. Liability is limited to the platform services provided.

10.2 Indirect Damages

To the maximum extent permitted by law, Proqure shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Services or from any buyer–seller transaction.

10.3 Maximum Liability

Our maximum liability for any claim related to the Services shall not exceed fees actually paid to Proqure for the specific transaction in question, or if no such fees were paid, zero.

11. Warranties and Disclaimers

11.1 Service Warranty

We warrant that we will provide marketplace services with reasonable skill and care. Materials and commercial performance are the seller's responsibility as confirmed on the purchase order.

11.2 Disclaimer

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Confidentiality

Information shared on the platform may be confidential. Users agree to protect confidential information and not disclose it except as needed to complete a transaction or as required by law.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services constitutes acceptance of modified terms.
